LoreVault Terms of Service

1. Agreement to Terms

By accessing or using LoreVault ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

LoreVault is operated by HelpfulToolsCompany ("we," "us," or "our").

2. Eligibility

You must be at least 18 years of age to use this Service. By using LoreVault, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

The Service is currently available only to users located in the United States. By using the Service, you represent that you are accessing it from within the United States.

3. Description of Service

LoreVault is a memory management extension for SillyTavern that:

• Stores and processes chat messages you choose to sync
• Extracts story events and character information using AI
• Provides semantic search to retrieve relevant context during conversations

4. Account Registration

To use certain features, you must register with a valid email address. You agree to:

• Provide accurate and complete information
• Maintain the security of your API key
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized use

We reserve the right to refuse registration or terminate accounts at our sole discretion.

5. User Content

5.1 Your Content

You retain ownership of all content you submit to LoreVault ("User Content"). By submitting User Content, you grant us a limited license to process, store, and analyze it solely to provide the Service.

5.2 Responsibility for Content

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the right to submit all User Content
• Your User Content does not violate any third party's rights
• Your User Content complies with all applicable laws

5.3 Content Restrictions

5.4 No Monitoring Obligation

We do not actively monitor User Content but reserve the right to review and remove content that violates these Terms. We may report illegal content to law enforcement.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Reverse engineer or decompile any part of the Service
• Use automated systems to access the Service beyond normal extension operation
• Share your API key with others
• Resell or redistribute the Service

7. Subscription and Payment

7.1 Free Tier

The free tier includes limited usage as described on our website. We may modify free tier limits at any time.

7.2 Paid Subscriptions

Paid subscriptions ("Pro" tier) provide additional features and higher limits. By subscribing, you agree to pay the fees indicated at the time of purchase.

7.3 Billing

• Subscriptions are billed monthly or annually as selected
• Payment is processed through Stripe
• You authorize us to charge your payment method on a recurring basis

7.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time.

7.5 Refunds

Refunds are provided at our sole discretion. We may offer refunds for:

• Technical issues that prevented use of the Service
• Billing errors
• Other circumstances we deem appropriate

8. Service Availability

The Service is provided "as available." We do not guarantee any specific uptime or availability. We may modify, suspend, or discontinue the Service at any time without notice.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

You may delete your data at any time using the delete feature in the extension. Deleted data cannot be recovered.

10. Intellectual Property

The Service, including its design, features, and code (excluding User Content), is owned by us and protected by intellectual property laws.

11. Third-Party Services

The Service integrates with third-party services including Supabase, Jina AI, Stripe, and SillyTavern. Your use of these services is subject to their respective terms and policies.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR $100 USD.

14. Indemnification

You agree to indemnify and hold harmless HelpfulToolsCompany from any claims, damages, losses, or expenses arising from your use of the Service, your User Content, or your violation of these Terms.

15. Dispute Resolution

These Terms are governed by the laws of the State of Delaware. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association.

CLASS ACTION WAIVER: You agree to resolve disputes only on an individual basis and waive any right to participate in class actions.

16. Termination

We may terminate or suspend your account immediately, without notice, for any reason, including violation of these Terms. Upon termination, your data may be deleted without notice.

17. Changes to Terms

We may modify these Terms at any time. Continued use after modifications constitutes acceptance.
